LLCs/LLPs (Limited Liability Companies/Partnerships)
Purpose:
- To safeguard personal assets of owners/members from creditors and lawsuits
- To provide a measure of control over operating activities and decision-making
- To concentrate multiple ownership of commercial property (family investments) in one entity for ease of management and to maximize revenue
- A pass-through tax entity, meaning the owners/members each pay their own taxes on income via their personal tax returns
Services include:
- Name availability and reservation with the Secretary of State
- Identification of eligible agent
- Selection of manager versus member-managed structure
- Articles of Organization
- Operating Agreement preparation
- Consents to proposed action from future probable beneficiaries
- Assistance to obtain Federal EIN number (employer identification number)
- Deed transfers
- Document kit, including official LLC/LLP seal
Professional Corporations
Purpose:
- Ownership and control is limited by statute to licensed professionals, i.e., physicians, dentists, lawyers, accountants, architects, other professions
Services Include:
- All services listed under General Corporations below, PLUS services specific to professional corporations
- Name permit application from appropriate licensing board
- Certification of corporation by appropriate licensing board, if required
- Bylaws articles limiting ownership, transfer of shares, and officer appointments as required by the Moscone-Knox Professional Corporations Act
- DBA (doing business as) filing as needed
- Buy-sell agreements
General Corporations
Services Include:
- Name availability and reservation with the Secretary of State

- Selecting number of shares and type of stock to issue
- Selection of officers and directors
- Selection of fiscal year and date of annual meeting
- Articles of Incorporation
- Bylaws
- Assistance to obtain Federal EIN number (employer identification number)
- S-corporation election
- Minutes adopting Articles and Bylaws
- Document kit, including official corporation seal and stock certificates
- Identification and modification of current contracts
- Employment contract negotiation and agreements
